Venue for disputes must be Superior Court of Fulton County, Georgia
Governing law must be Georgia law
State Entities will not pay attorney's fees, costs, indirect/consequential/incidental damages, interest (unless permitted by law), late payment/cancellation charges, or most taxes
No binding arbitration or waiver of jury trial
No provisions binding State Entity to unknown or unilaterally changeable terms
No 'best efforts' provisions requiring expenditure exceeding contract dollar amount
State Entities do not accept risk of loss for items during delivery until receipt
State Entities cannot be required to purchase insurance policies
No automatic renewals obligating state funds in subsequent fiscal years
Multiyear agreements must meet specific requirements (funds in hand, standard form, annual termination, no automatic renewals, funding availability clause, total obligation listing, title remains with supplier until paid, interest allowed)

Material must be ASTM B209 or 5052-H38 alloy aluminum
Sign blanks with 4 holes must have standard/universal 4-hole pattern
Aluminum must be Alodine treated to prevent corrosion
Composite blanks must have one side white and the other silver/gray finish
Extruded blanks must be constructed using .080-gauge aluminum in the middle with .240” thicker outer edge
Product must be packaged to protect against damage and dirt, secured to pallets (200-250 each)
Each pallet must have a label stating Vendor Name, Lot Number, GCI Purchase Order Number, Date of Shipment, and Quantity
Damaged or unlabeled sign blanks will be returned at the vendor's expense
Samples must be provided upon request at no cost to GCI
Material not meeting specifications will be refused
Deliveries must be made within 30 days after receipt of Purchase Order
All items are F.O.B. Destination
Delivery hours are Monday - Thursday, 8:00 AM - 2:00 PM; no deliveries on Friday, weekends, or State of Georgia holidays
Vendor must schedule delivery with the site location
Supplier must be registered in Team Georgia Marketplace
Prohibited communication with State staff except through Issuing Officer or during Bidders/Offerors' conference
All questions must be submitted in writing via email to the Issuing Officer
Responses must be complete and submitted by the deadline
Protests must be submitted in writing to the Agency Procurement Officer
Costs for preparing responses are the supplier's responsibility

Contractor must promptly communicate all relevant facts and undertake corrective actions for product recalls at its sole expense
Contractor must safeguard confidential information, prevent dissemination, notify of subpoena, and report unauthorized disclosure
Contractor indemnifies State for breaches, negligence, non-conforming goods, and IP infringement
Contractor must reimburse the State Tort Claims Fund for covered damages
Contractor must indemnify the State against patent/copyright infringement claims
Contractor must provide all required insurance and bonds
Contractor warrants goods are free from defects and expands implied warranties
Contractor and its personnel must comply with all applicable federal, state, and local laws, rules, ordinances, regulations, orders, and State policies
Contractor and its personnel must comply with the Statewide Sexual Harassment Prevention Policy and complete annual training
Contractor must provide a drug-free workplace and secure certification from subcontractors
Contract amendments must be in writing and by mutual consent
No third-party beneficiaries to the contract
Dispute resolution requires 14-day written notice of intent to litigate, with an option for mediation in Atlanta, Georgia (State Entity cost capped at $5,000)
No assignment or transfer of the contract without prior written consent
Contractor is an independent contractor, not a joint venture
Joint and Several Liability applies if the Contractor is a joint entity
Contract supersedes all prior contracts for the goods and services provided
Failure to require performance by either party does not waive subsequent rights
Notices must be given in writing by registered/certified mail, hand delivery, or overnight carrier
Contract provisions are cumulative and severable
Time is of the essence for contract performance
Persons signing the contract warrant their right, power, and authority to enter and perform obligations
All terms, provisions, and conditions are binding upon and inure to the benefit of successors and assigns
Contractor must maintain books, records, and documents for at least five years and allow audit access
Contractor warrants no selling agency was employed for commission to secure the contract
Contractor certifies compliance with Clean Air and Water regulations
Contractor certifies it and its subcontractors are not debarred, suspended, or ineligible
Contractor will not use the State's name or intellectual property without prior written consent
Contractor certifies registration with GA Dept of Revenue, collection/remittance of sales/use taxes, or not being a 'retailer'
Neither party is in default for delays or impossibility due to an act of God, but not for subcontractor conduct
Contractor's liability to the State is limited to direct damages not exceeding total paid, with full risk of loss for State equipment in Contractor's care
Contract obligations survive termination or expiration
Contract may be executed in counterparts
Parties agree to execute further assurances and corrective instruments
Contractor agrees to provide transition cooperation and cooperate with other contractors upon termination
