RS-Means Software Maintenance Services

RFP for maintenance and online software services for RS-Means software in Virginia.

Offeror must be an authorized reseller.
Contractor shall extend full coverage of standard commercial warranty at no additional cost.
Contractor must provide a copy of its standard commercial warranty with the offer.
The Government shall have data rights to all data generated under this contract.
Any Commercial Supplier Agreement must be provided in full text as part of a quote or offer without hyperlinks.
The contract/order Schedule and Federal Acquisition Regulation (FAR) 52.212-4 shall take precedence over any conflicting provisions in a Commercial Supplier Agreement.
Any requirement in the Commercial Supplier Agreement conflicting with Federal law or regulations is unenforceable.
Automatic renewals of License Agreements are not permitted and any such provision is void.
Unilateral changes of the Commercial Supplier Agreement are impermissible and changes must be in writing and executed by both parties.
Contractor must obtain all necessary licenses for the Government for any third-party materials (including Open Source licenses) provided within the product.
Contractor must comply with all obligations under Third Party Licenses (including Open Source licenses).
Government's use of software products licensed in compliance with the Contractor's Commercial Supplier Agreement will also be in compliance with any Third Party Licenses.
Government may conduct an internal audit to verify the number of licenses in use and conformity with the Agreement, no more than once every twelve months or after a transfer.
Contractor shall ensure a payment request includes appropriate documentation.
Contractor shall ensure a receiving report meets the requirements of DFARS Appendix F.
Contractors submitting payment requests and receiving reports via EDI or SFTP shall separately send an email notification to the COR and Contracting Officer on the same date.
Contractor shall apply basic safeguarding requirements and procedures to protect covered contractor information systems as per FAR 52.204-21.
Contractor shall include the substance of FAR 52.204-21 in subcontracts.
Contractor shall comply with FAR clauses 52.203-19, 52.204-23, 52.204-25, 52.209-10, 52.232-40, 52.233-3, 52.233-4, 52.204-10, 52.204-30, 52.209-6, 52.222-3, 52.222-19, 52.222-36, 52.222-50, and 52.232-30.
Offeror does not provide covered telecommunications equipment or services to the Government.
Offeror does not use covered telecommunications equipment or services.
Offeror does not propose to provide or use any covered article or products/services prohibited by an applicable FASCSA order.
Offeror does not conduct any restricted business operations in Sudan.
Offeror is not an inverted domestic corporation or a subsidiary of one.
Offeror does not export sensitive technology to the government of Iran or any entities/individuals owned or controlled by it.
Offeror does not engage in any activities for which sanctions may be imposed under section 5 of the Iran Sanctions Act.
Offeror does not knowingly engage in transactions exceeding FAR 25.703-2(a)(2) with Iran's Revolutionary Guard Corps or its officials/agents/affiliates.
Offeror does not have an immediate owner.
Offeror is not a corporation with any unpaid Federal tax liability.
Offeror is not a corporation convicted of a felony criminal violation under Federal law within the preceding 24 months.
Offeror will not require employees or subcontractors to sign or comply with internal confidentiality agreements restricting reporting waste, fraud, or abuse.
All offerors shall submit a list or description of all Government property proposed for rent-free use, including accountable contract, authorization, dates of availability, amounts of respective uses, and a description of the property management system/plan.
