KEY REQUIREMENTS

Submit detailed bills for compensation, goods, services, or expenses
Supply a complete and accurate W-9 or W8-BC form
Cooperate with FIU for audits and investigations
Retain all records related to the agreement for at least three years
Make records available at FIU's Modesto A. Maidique Campus or other designated location
Not charge FIU for travel expenses, meals, and lodging unless expressly authorized
Indemnify, defend, protect, and hold harmless FIU from claims arising from Vendor's negligence, misrepresentation, or breach
Assume all risk of personal injury and property damage attributable to Vendor's acts or omissions
Ensure goods or services do not infringe upon any third-party intellectual property rights
Defend FIU against any IP infringement claims related to Vendor's goods or services
Maintain required types and amounts of insurance, naming FIU as an additional insured
Provide 30 days prior written notice to FIU for insurance cancellation or reduction in coverage
Ensure subcontractors or assignees maintain adequate insurance coverage
Not use FIU's name, logo, or mark in advertising or publications without prior written approval
Not make press or media announcements concerning the agreement without prior written consent
Comply with all applicable federal, state, and local laws, rules, regulations, and ordinances
Maintain all necessary governmental permits, licenses, consents, and approvals
Comply with Florida Public Records Law, Chapter 119
Not be on the convicted vendor list for public entity crimes
Not use funds provided under the agreement for lobbying the Legislature or state government
Not knowingly employ unauthorized aliens
Affirm principles of equal opportunity employment and not discriminate against qualified candidates
Ensure no conflicts of interest with FIU employees, officers, or owners
Purchase products or services from Prison Rehabilitative Industries (PRIDE) if applicable
Purchase products or services from nonprofit agencies for the blind or severely handicapped if applicable
Comply with the Federally Funded Projects Addendum if the agreement relates to FIU's agreement with the United States
For Goods: Deliver goods on time according to the agreement timeline
For Goods: Pack, mark, and ship goods to secure the lowest reasonable transportation cost
For Goods: Include the Agreement No. on all invoices, bills of lading, cases, bundles, packing lists, and correspondence
For Goods: Include a packing list showing contents in each container
For Entertainment/Performance: Maintain Commercial General Liability insurance with minimum $1,000,000 per occurrence and $2,000,000 aggregate
