No oral explanations or instructions unless authorized
Tarrant County is exempt from Federal Excise and State Sales Tax
Review eProcurement system for all solicitation documents
Payment terms are 30 days after receipt of invoice, materials, or service
Invoices must be sent to Tarrant County Auditor's Office (physical and email)
Invoices must be fully documented and reference the purchase order number
Vendor non-performance may lead to contract termination
Contract may be terminated by either party with 30-day written notice
Bids showing omissions, alterations, additions, or inconsistencies may be considered non-responsive
Bids may be disqualified for collusion, interest in multiple bids, litigation against Tarrant County, being in arrears on existing contracts, lack of competency, uncompleted work, or delinquent property tax
Confidential material must be clearly marked; pricing information is not confidential
Vendor may not assign rights or duties without written consent from Tarrant County Purchasing Agent
Vendor must defend, indemnify, and hold harmless Tarrant County
Vendor must allow Tarrant County to audit pertinent books, documents, papers, and records for 12 months after final payment
Vendor must comply with all applicable federal and state statutes, ordinances, rules, and regulations
Vendor personnel accessing Tarrant County Data or secure facilities may require fingerprint-based Criminal Justice Information Services (CJIS) Background Check, Human Resources Criminal Background Check, or Sheriff's Criminal Background Check
For IT hosted or cloud solutions, vendor must protect Confidentiality, Integrity, and Availability (CIA) of Tarrant County Data
For IT hosted or cloud solutions, vendor must notify Tarrant County of unauthorized access to data within 48 hours
For IT hosted or cloud solutions, all Tarrant County data must remain in the 48 contiguous United States
For IT hosted or cloud solutions, Tarrant County reserves the right to audit vendor data centers or receive SSAE 16 SOC Type II audits
All equipment must be new, non-refurbished, currently advertised, and meet or exceed specifications
All essential items for production and delivery of equipment must be furnished by the vendor
All parts and supplies not specifically mentioned but necessary for complete units must be furnished at no additional cost
All parts and supplies must be of the same strength, quality, and workmanship as the accepted industry standard
Only manufacturer trademarks or model designations are allowed on units; no advertisement decals
Standard warranty information must be included with bid response
Awarded vendor must promptly provide services entitled under manufacturer's warranty
Bidders may bid equipment that meets or exceeds basic specifications
Provide estimated delivery lead times
Equipment must be delivered fully palletized on standard, forklift-compatible pallets
Shipping term is FOB Destination inside delivered to Tarrant County Medical Examiner's Office
All fees must be included in the unit price; no separate freight or shipping fees allowed
Vendor must notify Tarrant County of circumstances altering turnaround time within 24 hours
Vendor must agree to minimum insurance requirements: Workers' Compensation/Employer's Liability ($500,000), Commercial General Liability ($1,000,000 per occurrence/$2,000,000 aggregate), Auto Liability ($500,000 CSL)
Provide Certificates of Insurance to Tarrant County Purchasing Agent and Budget and Risk Management Department
Certificates of Insurance must provide 30 days written notice of cancellation or major change
Tarrant County and its officers, employees, and elected representatives must be named as additional insured
Certificates of Insurance must reference the project name and solicitation number
Vendor agrees to waive subrogation against Tarrant County
Vendor is responsible for ensuring subcontractors have required insurance coverage
Bidder certifies not on Federal Government's list of suspended, ineligible, or debarred entities
Bidder agrees to comply with HB 1295, Government Code 2252.908 (Certificate of Interested Parties, Form 1295)
Vendor represents and warrants that it does not boycott Israel or that verification is not applicable
Vendor verifies it is not engaged in business with Iran, Sudan, or any foreign terrorist organization
