Seeking vendor for Bluebeam complete services and subscription upgrade in Ohio.

Contractor and its subcontractors are under a duty to disclose to the State any change or shift in location of services performed
Contractor must complete the Contractor/Subcontractor Affirmation and Disclosure Form
Contractor must be able to accept all forms of payment from ODOT
Contractor must keep all financial records related to this Contract in a manner consistent with Generally Accepted Accounting Principles (GAAP)
Contractor must provide Deliverables under this Contract F.O.B. Destination/Pre-Paid/Allowed
Contractor must provide ODOT with written notice of cancellation or material change to any insurance policy required
Contractor must require and verify that all subcontractors maintain insurance with sufficient limits
Contractor shall provide a Service that maintains a redundant infrastructure designed to ensure access for all ODOT's enrolled users
Contractor shall provide a production sample of the item to ODOT for acceptance
Contractor shall provide all information and reports required by the Acts, the Regulations, and directives issued pursuant thereto
Contractor shall provide the Services shall be available in accordance with the Service Availability Schedule
Contractor shall provide telephonic assistance and advice for using all Services as needed by ODOT
Contractor warrants that the Contractor has not and will not enter into any contracts without written approval of ODOT to perform substantially identical services for ODOT
Have a rating of not less than A-VII from A.M. Best or a comparable rating agency for commercial insurance
Maintain insurance against claims for injuries to persons or damages to property which may arise from or in connection with the performance of the services
Maintain insurance for claims arising out of their services including, but not limited to, loss, damage, theft or other misuse of data, infringement of intellectual property, invasion of privacy and breach of data
Provide a letter stating that it is exempt and agreeing to hold the State harmless from loss or liability for workers' compensation if Contractor is a sole proprietor, partnership or has no statutory requirement for workers' compensation
The Contractor must designate a problem as "critical" if the Service is functionally inoperable
The Contractor must indemnify ODOT for all liability and expense resulting from the unauthorized disclosure or loss of State Data
The Contractor must keep all software current by installing all relevant service packs and patches as well as all updates and new releases and versions of the software as soon as reasonably possible
The Contractor must notify ODOT in writing immediately upon the discovery of any breach of the warranties given above
The Contractor must provide access to the requested records at the location specified by the State no later than five (5) business days after the request by ODOT
The Contractor must require its subcontractors to agree to the same provisions of this Section for each subcontract in excess of $25,000.00
The Contractor will comply with all state and federal laws regarding equal employment opportunity and fair labor and employment practices, including Section 125.111 of the Ohio Revised Code and all related Executive Orders
The Contractor will ensure that applicants are hired and that employees are treated during employment without regard to their race, religion, color, sex (including pregnancy, gender identification and sexual orientation), national origin (ancestry), disability, genetic information, age (40 years or older), sexual orientation, or military status (past, present, or future)
